These terms and conditions apply between you, the User of this Website (including any sub-domains, unless expressly excluded by their own terms and conditions), and  Social Pack Ltd,  the owner and operator of this Website. Please read these terms and conditions carefully, as they affect your legal rights. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately.

In these terms and conditions, User or Users means any third party that accesses the Website and is not either (i) employed by  Social Pack Ltd  and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to  Social Pack Ltd  and accessing the Website in connection with the provision of such services.

You must be at least 18 years of age to use this Website. By using the Website and agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.

Intellectual property and acceptable use

All Content included on the Website, unless uploaded by Users, is the property of  Social Pack Ltd,  our affiliates or other relevant third parties. In these terms and conditions, Content means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code and software and any other form of information capable of being stored in a computer that appears on or forms part of this Website, including any such content uploaded by Users. By continuing to use the Website you acknowledge that such Content is protected by copyright, trademarks, database rights and other intellectual property rights. Nothing on this site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed on the site without the owner's prior written permission

Any online facilities, tools, services or information that  Social Pack Ltd  makes available through the Website (the Service) is provided "as is" and on an "as available" basis. We give no warranty that the Service will be free of defects and/or faults. To the maximum extent permitted by the law, we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.  Social Pack Ltd  is under no obligation to update information on the Website.

Whilst  Social Pack Ltd  uses reasonable endeavours to ensure that the Website is secure and free of errors, viruses and other malware, we give no warranty or guaranty in that regard and all Users take responsibility for their own security, that of their personal details and their computers.

Social Pack Ltd  accepts no liability for any disruption or non-availability of the Website.

Social Pack Ltd  reserves the right to alter, suspend or discontinue any part (or the whole of) the Website including, but not limited to, any products and/or services available. These terms and conditions shall continue to apply to any modified version of the Website unless it is expressly stated otherwise.

Limitation of liability

Nothing in these terms and conditions will: (a) limit or exclude our or your liability for death or personal injury resulting from our or your negligence, as applicable; (b) limit or exclude our or your liability for fraud or fraudulent misrepresentation; or (c) limit or exclude any of our or your liabilities in any way that is not permitted under applicable law.

We will not be liable to you in respect of any losses arising out of events beyond our reasonable control.

To the maximum extent permitted by law,  Social Pack Ltd  accepts no liability for any of the following:

any business losses, such as loss of profits, income, revenue, anticipated savings, business, contracts, goodwill or commercial opportunities;

loss or corruption of any data, database or software;

any special, indirect or consequential loss or damage.

General

You may not transfer any of your rights under these terms and conditions to any other person. We may transfer our rights under these terms and conditions where we reasonably believe your rights will not be affected.

These terms and conditions may be varied by us from time to time. Such revised terms will apply to the Website from the date of publication. Users should check the terms and conditions regularly to ensure familiarity with the then current version.

These terms and conditions  together with the Privacy Policy    contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.

The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and conditions and no third party will have any right to enforce or rely on any provision of these terms and conditions.

If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected.

Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.

This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.

Email Communications

By signing up for updates from Social Pack, you agree to receive occasional email communications from us, as well as promotions or curated content from carefully selected partners; these partner features are delivered within the Social Pack email and your personal data is not shared with those partners unless you explicitly opt in to receive direct communications from them.  These may include marketing insights, exclusive offers, product news, and updates relevant to your interests as a subscriber. 

We are committed to respecting your inbox and will not send irrelevant or excessive content. You may unsubscribe from our communications at any time by clicking the unsubscribe link provided in each email.

Your personal data will be stored securely and processed in accordance with our Privacy Policy and applicable data protection laws. We do not sell or share your information with third parties.

Terms & Conditions for Online Courses (“Course”)

Effective Date: At point of purchase

These Terms and Conditions (“Terms”) govern your purchase of and access to the online marketing course (the “Course”) offered by Social Pack Ltd (“we,” “us,” “our”) via www.socialpack.co.uk. By enrolling in or accessing the Course you agree to be bound by these Terms.

1. Definitions

  • Course: All digital training modules, videos, workbooks, templates, downloads and related materials provided by Social Pack Ltd.

  • User / You: The individual or business enrolling in or using the Course.

  • Licence: The limited rights granted under Clause 3.

  • Content: Any Course materials, including but not limited to videos, slides, workbooks, templates, text, graphics, exercises and downloads.

  • Seat / Login: An individual user’s entitlement to access the Course under a multi-user licence (named user account).

  • Lead Purchaser: the person whose account completed the purchase for a multi-user licence. The Lead Purchaser registers users and authorises any seat changes.

2. Eligibility & Account

2.1 Eligibility: You must be at least 18 years old and reside in the UK or EU to enrol. By enrolling you represent and warrant that you meet these criteria.
2.2 Account: Access may require creation of a user account. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us immediately if you suspect unauthorised use.
2.3 Accuracy: You must provide true, accurate and complete information when creating an account or purchasing the Course.

3. Licence, User Access & Usage Rights

3.1 Licence Grant: On successful payment, Social Pack Ltd grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Course Content for your own personal or internal business purposes, subject to these Terms.
3.2 Single-User Access: The standard Course purchase entitles one individual to access the Course. You may not share your account credentials or access with anyone else unless you have separately purchased additional seats or a multi-user licence. Concurrent use or sharing that indicates unauthorised access may result in suspension or termination.
3.3 Multi-User / Named Seats: If you purchase a multi-user licence or additional seat(s), each seat is a named seat assigned to a specific individual (name + unique email). Seats cannot be shared beyond the number purchased. Reassignment or migration of seats (if permitted) must follow our internal process (see Section 5). Using more users than purchased is a breach of these Terms and may lead to suspension or revocation of access without refund.
3.4 Account Non-Transferability: All accounts and licences are non-transferable except where we expressly agree in writing. You may not sell, gift, assign or otherwise transfer your access to another party without prior written consent. Requests for transfers must be submitted to support and may require identity verification.
3.5 Restrictions: You agree not to:

  • Resell, redistribute, sublicense, share, rent, lease or otherwise make available the Course Content to third parties outside of purchased seats;

  • Copy, modify, reverse engineer, decompile or create derivative works of the Course Content except as expressly permitted;

  • Circumvent any digital rights management or access control mechanisms;

  • Use the Course Content in competition with Social Pack Ltd.
    3.6 User Feedback: If you submit testimonials, case studies or feedback, you grant us a perpetual, worldwide, royalty-free licence to use such submissions for marketing and improvement purposes, with attribution unless you request anonymity.
    3.7 Enforcement & Monitoring: We reserve the right to monitor access patterns (e.g., IP addresses, device fingerprints, concurrent logins) to detect and prevent unauthorised sharing or overuse beyond purchased seats. If misuse is detected, we may suspend, limit or terminate access at our discretion.

4. Purchase, Fees, Payment & Access

4.1 Fees: Course fees are as displayed at purchase and include VAT where applicable. Payments are in GBP unless otherwise stated.
4.2 Payment Methods: We accept major credit/debit cards and PayPal (or other processors noted at checkout). You authorise us to charge the full amount upon purchase.
4.3 Access Activation: Access is typically granted immediately after payment clears. If payment fails or is reversed, access may be suspended or revoked.
4.4 Price Changes: We may change pricing for future customers at any time; your fee is fixed for the completed purchase.

5. Mixed-Format Delivery, Cancellation Rights & Physical Planner

5.1 Course components.
Your purchase includes digital Course Content (online modules, videos and downloadable assets) and a physical one-month A4 PACK Planner supplied as part of the Course.

5.2 Immediate digital delivery & waiver.
By purchasing you consent to immediate access to the digital Course Content and downloads, and you acknowledge that supply of that content will commence immediately. You expressly waive your statutory 14-day cancellation right for the digital portion of the Course once access or downloads begin.

5.3 Planner: bundled item & refunds.
The A4 PACK Planner is supplied as a bundled element of the Course and is intended for use alongside the digital Content. As such:

  • If you access or download any digital Course Content (or otherwise accept immediate digital delivery), the planner is not eligible for a separate refund.

  • If you have not accessed any digital Course Content and you wish to cancel your order, you may return the planner within 14 days of receipt for a refund provided it is returned in substantially the same condition, unused and at your cost. In that case the digital portion will not have been accessed and your cancellation will be processed in line with consumer law.

  • If the planner is faulty, damaged in transit, or materially not as described, notify us within 14 days of receipt and we will arrange a replacement or refund for the planner (return postage will be covered where the fault is our responsibility).

5.4 Post-refund obligations.
If a refund is issued for the entire purchase, any licence to access the digital Course Content terminates immediately. You must cease using, delete and destroy all copies (digital or offline) of the Course materials and downloads.

6. Account setup — Lead Purchaser & Named Seats (multi-user specifics)

6.1 Lead Purchaser Role: For multi-user purchases the Lead Purchaser is the person whose account completed the purchase. The Lead Purchaser is responsible for providing full names and unique email addresses for each seat and for managing seat allocation.
6.2 Registration & Activation: After purchase, Social Pack will email the Lead Purchaser within 2 working days requesting the required user details. We aim to activate seats within 2 working days of receiving complete details. Each seat must be registered to an individual with a unique email address. Shared logins are not permitted.
6.3 No Direct Migration by Purchaser: The Lead Purchaser cannot change or migrate seats directly via the platform. Any seat changes or migrations must be requested in writing by the Lead Purchaser (from the Lead Purchaser’s registered email) and will be processed by Social Pack (see Section 7).
6.4 Admin Obligations: The Lead Purchaser must maintain an up-to-date roster of named users and notify Social Pack immediately of any suspected credential compromise.

7. Migration / Changes to Seats (how it works)

7.1 Authorised Requests: Any request to migrate a seat to a new employee/individual (or otherwise change seat allocation) must be submitted by the Lead Purchaser and must originate from the Lead Purchaser’s registered email address (the same email used at checkout). Requests from any other email address will not be accepted.
7.2 Processing & Fees: Seat migration fee: £145.00 per login. Each seat may be migrated no more than once in any 12-month period. Migration requests must be sent in writing by the Lead Purchaser to learning@socialpack.co.uk and must include the full name and unique email of the new user and confirmation from an authorised company contact. Social Pack may request proof of employment or association prior to approving a migration. Social Pack aims to process migration requests within 5 working days of receiving complete documentation. Migration is not complete until Social Pack confirms the transfer in writing.
7.3 Additional Seats: Additional named seats may be purchased on request. Contact learning@socialpack.co.uk for pricing and availability. Additional seats are subject to these same Terms.

8. Fees, Refunds & Forfeiture

8.1 Migration Fee: £145.00 per login (as above).
8.2 Refunds: No refunds are available for individual seats once activated. If Social Pack suspends or revokes a seat for breach of these Terms (including resale or sharing), no refund will be given for that seat.
8.3 Administrative Fees: Social Pack reserves the right to charge administrative fees for remediation work caused by misuse (e.g., investigation, verification, forced password resets).

9. Support SLA

9.1 Seat setup: We aim to set up seats within 2 working days of receiving complete user details from the Lead Purchaser.
9.2 Support responses: Typical reply time is within 48 hours (working days). Emergency or complex requests may take longer; Social Pack will update the Lead Purchaser if additional time is required.

10. Intellectual Property

10.1 Ownership: All Course Content, trademarks, logos and instructional materials are the exclusive property of Social Pack Ltd or its licensors.
10.2 Protection: You may not remove or alter any copyright, trademark or proprietary notices.
10.3 Third-Party Components: Any third-party software, fonts or underlying technology are governed by their own licence terms.

11. User Conduct

You agree not to:

  • Use the Course for unlawful purposes or in violation of applicable law.

  • Impersonate any person or entity or misrepresent your affiliation.

  • Introduce viruses, malware or harmful code.

  • Harass, abuse or harm other users or instructors.

12. Disclaimers, Results & Professional Advice

12.1 No Outcome Guarantee: We provide training, frameworks and recommendations, but do not guarantee any specific business, income, marketing or financial results. Your success depends on your individual effort, timing, market conditions and external factors beyond our control.
12.2 Opinion & Professional Advice: All Course Content reflects our experience, opinion and best practices in marketing. It is provided for general guidance and is not a substitute for professional advice. Consult a qualified professional if needed.
12.3 No Liability for Business Performance: To the fullest extent permitted by law, Social Pack Ltd shall not be liable for any loss of profit, business interruption or any other commercial or personal loss arising from your use of the Course.

13. Liability & Indemnity

13.1 Limitation of Liability: Our total liability under or related to these Terms (whether in contract, tort, negligence or otherwise) shall not exceed the amount you paid for the Course.
13.2 Exclusion of Damages: We exclude all indirect, special, consequential or punitive damages, including lost profits, lost business opportunity or loss of data.
13.3 Indemnity: You agree to indemnify and hold harmless Social Pack Ltd, its officers, employees and affiliates from any claims, liabilities, damages or expenses (including legal fees) arising from your breach of these Terms or misuse of the Course.

14. Termination & Suspension

14.1 By Us: We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or abuse the licence.
14.2 By You: You may stop using the Course at any time; termination does not automatically entitle you to a refund outside the stated policies.
14.3 Survival: Sections regarding IP, liability, indemnity, disclaimers and post-refund obligations survive termination.

15. Privacy & Data Protection

15.1 Privacy Policy: We process your personal data in accordance with our Privacy Policy: https://socialpack.co.uk/policies/privacy-policy. By enrolling you consent to such processing for course delivery, billing and communications.
15.2 Your Rights: If you are in the UK/EU you have rights (access, correction, deletion, portability) as detailed in the Privacy Policy.

16. Marketing & Communications

18. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or notice on the platform. Continued use constitutes acceptance. If you do not agree, you must stop using the Course.

19. Governing Law & Dispute Resolution

19.1 Governing Law: These Terms are governed by the laws of England and Wales.
19.2 Disputes: We encourage informal resolution first. Unresolved disputes fall under the exclusive jurisdiction of the courts of England and Wales.
19.3 Consumer Rights: Nothing in these Terms affects your statutory consumer rights under UK/EU law.

20. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control (e.g., internet outages, acts of God, pandemics, third-party service failures).

21. Intellectual Property Complaints

If you believe your copyright or IP rights are infringed by Course content, notify us with full details. We may request verification and follow appropriate takedown or counter-notice procedures.

22. Miscellaneous

  • Entire Agreement: These Terms, together with any purchase confirmation and the Privacy Policy, constitute the entire agreement.

  • Severability: If any provision is found invalid, the remainder survives.

  • No Waiver: Failure to enforce a right is not a waiver.

  • Assignment: We may assign our rights; you may not transfer your licence without prior written consent.
